Please read these terms of service carefully before using our website or services.
Section 1
Copyright, Licenses and Idea Submissions
The entire contents of the Site are protected by international copyright and trademark laws. The owner of the copyrights and trademarks are Propagate Media Ltd., its affiliates or other third party licensors.
You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute, in any manner, the material on the Site, including text, graphics, code and/or software. You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials.
You agree to grant to Propagate Media Ltd. a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site by all means and in any media now known or hereafter developed.
You also grant to Propagate Media Ltd. the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against Propagate Media Ltd. for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Propagate Media Ltd.
Trademarks
Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or servicemarks of Propagate Media Ltd. Other product and company names mentioned in the Site may be the trademarks of their respective owners.
Section 2
Use of the Site
Harassment in any manner or form on the Site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Propagate Media Ltd. or other licensed employee, host, or representative, as well as other members or visitors on the Site is prohibited.
You may not upload to, distribute, or otherwise publish through the Site any content which is libellous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offence, violate the rights of any party or which may otherwise give rise to liability or violate any law.
You may not upload commercial content on the Site or use the Site to solicit others to join or become members of any other commercial online service or other organisation.
Section 3
Limitation of Liability
Propagate Media Ltd. does not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. Propagate Media Ltd. does not warrant or represent that the information available on or through the Site will be correct, accurate, timely or otherwise reliable. Propagate Media Ltd. may make improvements and/or changes to its features, functionality or content at any time.
Propagate Media Ltd., its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages (including, without limitation, those resulting from lost profits, lost data, or business interruption) arising out of or relating in any way to the Site, site-related services, content or information contained within the Site, and/or any hyperlinked website, whether based on warranty, contract, tort, or any other legal theory and whether or not advised of the possibility of such damages.
Your sole remedy for dissatisfaction with the Site, site-related services, and/or hyperlinked websites is to stop using the Site and/or those services. Applicable law may not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Section 4
Indemnification
You agree to indemnify, defend and hold harmless Propagate Media Ltd., its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Site from and against all losses, expenses, damages and costs, including reasonable legal fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Site.
Section 5
Third Party Rights
The provisions of paragraphs 3 (Limitation of Liability) and 4 (Indemnification) are for the benefit of Propagate Media Ltd. and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Site. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
Section 6
Term; Termination
This Agreement may be terminated by either party without notice at any time for any reason; provided that you may no longer use the Site after you have terminated this Agreement. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 3 (Limitation of Liability), 4 (Indemnification), 5 (Third Party Rights), and 7 (Miscellaneous) shall survive any termination of this Agreement.
Section 7
Miscellaneous
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. You agree that any legal action or proceeding between Propagate Media Ltd. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in the United Kingdom.
Any failure by Propagate Media Ltd. to enforce or exercise any provision of this Agreement or related right shall not constitute a waiver of that right or provision. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement.
